VC Innovations Group LLC, a Texas limited liability company doing business as WhereTo Trips ("WhereTo Trips," "Company," "we," "us," or "our"), develops and operates the WhereTo Trips mobile application for iOS and Android (the "App") and the website at wheretotrips.com (the "Site"), through which users can discover, compare, and book travel reservations, including but not limited to flights, hotels, and other travel-related services (the "Services"). These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "user," or "your") and WhereTo Trips governing your access to and use of the App and the Site. References in these Terms to "WhereTo Trips" mean VC Innovations Group LLC, the legal entity with which you are contracting; "WhereTo Trips" is the assumed name under which that entity does business.
These Terms govern your use of both the App and the Site. The Site is informational and does not process bookings, so the provisions of these Terms concerning booking, payment, cancellation, and refunds apply only to reservations you make through the App. All other provisions apply to your use of the App and the Site alike. These Terms replace any separate terms of service previously published for the Site.
BY CREATING AN ACCOUNT, ACCESSING, OR USING THE APP OR THE SITE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS, INCLUDING THE BINDING ARBITRATION PROVISION AND CLASS ACTION WAIVER IN SECTION 16. IF YOU DO NOT AGREE, DO NOT ACCESS OR USE THE APP OR THE SITE.
You must be at least 18 years of age and capable of forming a binding contract to use the App. The App is distributed only through the United States storefronts of the Apple App Store and Google Play, and is offered only in the United States. Reservations made through the App must originate in the United States, meaning that the first segment of your itinerary departs from a location in the United States. International destinations are supported, and traveling outside the United States does not affect your account or your ability to use the App. By using the App, you represent and warrant that you meet these requirements and that all information you provide during registration and booking is accurate, current, and complete.
You may register using a direct username and password, or by authenticating through a supported third-party sign-in provider (such as Google or Facebook). You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us promptly at support@wheretotrips.com of any unauthorized use of your account.
We reserve the right to suspend or terminate your account, in our sole discretion, if we believe you have violated these Terms, provided false information, or engaged in fraudulent or abusive conduct.
The App allows you to search, compare, and book travel reservations made available through third-party suppliers, including airlines, hotels, and other travel providers ("Travel Suppliers"). WhereTo Trips facilitates these bookings through our booking partner, Nuitée (which operates the liteAPI platform), whose systems interface with Travel Suppliers and global distribution systems. Nuitée acts as the booking agent of record and as the merchant of record for reservations made through the App. WhereTo Trips does not own, operate, or control any Travel Supplier, and is not the provider of the underlying travel services you book through the App.
When you complete a booking through the App, you are entering into a direct contractual relationship with the applicable Travel Supplier, subject to that Travel Supplier's own terms, conditions, fare rules, cancellation policies, and applicable tariffs. WhereTo Trips acts solely as an intermediary technology platform connecting you to Travel Suppliers, and is not a party to the contract of carriage, accommodation, or other travel service between you and the Travel Supplier.
Availability, pricing, and itinerary details displayed in the App are sourced in real time from our third-party API connections, but are not guaranteed until your booking is confirmed. Prices, taxes, fees, and availability may change prior to confirmation due to factors outside our control, including inventory and rate changes made by Travel Suppliers.
WhereTo does not charge you a fee to use the App or to make a booking. We are paid a commission by our booking partner after your travel has been completed. Search results, destination suggestions, and rankings shown in the App are generated from the preferences and inputs you provide, and are not influenced by the commission we earn on any booking.
Payment for reservations made through the App is collected by our booking partner, Nuitée, acting as the merchant of record, through its own PCI-DSS-compliant payment processor. When you enter payment card information to complete a booking, that information is transmitted directly and securely to that processor through its certified systems. WhereTo Trips is not a party to the card transaction and does not collect or hold your funds.
WhereTo Trips does not capture, receive, transmit through its own servers, or store your credit card number, card verification value (CVV), cardholder name, billing address, or other payment card data at any time. The only payment information we receive is confirmation that payment for your booking was completed. Because our booking partner is the merchant of record, the descriptor that appears on your card or bank statement may identify that partner or the Travel Supplier rather than WhereTo.
By submitting payment information, you represent that you are authorized to use the payment method provided. You authorize our booking partner and its payment processor to charge the total price displayed to you at the time of booking to your designated payment method. The total price shown to you before you confirm includes the base fare or rate together with all taxes and mandatory fees that we are able to calculate in advance. Any amount collected directly by a Travel Supplier at the time of travel, such as a resort fee or a charge for an optional service you select, is identified to you before you complete your booking.
Currency conversion, foreign transaction fees, and related charges imposed by your card issuer are outside our control and are your responsibility.
Cancellation, change, and refund policies are set by the applicable Travel Supplier and vary by booking, fare type, and rate. These policies are presented to you prior to completing your booking, and your purchase constitutes acceptance of the applicable Travel Supplier's policy in addition to these Terms.
WhereTo Trips does not independently guarantee refunds, rebooking, or compensation for cancellations, schedule changes, delays, overbooking, denied boarding, or service failures caused by a Travel Supplier. Because our booking partner collects payment as merchant of record, any refund is issued by that partner rather than by WhereTo Trips. Where a refund is owed under a Travel Supplier's policy, or where a refund is required by applicable law, we will submit and follow your refund request with our booking partner and the Travel Supplier, but approval and timing are determined by them and by applicable settlement timelines. Where an air carrier cancels your flight or makes a significant change to it, and you decline the alternative offered, you are entitled to a refund of the amount you paid, and we will assist you in obtaining that refund from the party that received your payment.
If you experience an issue with a confirmed booking, contact our support team at support@wheretotrips.com and we will assist you in coordinating with our booking partner and the relevant Travel Supplier. Because we do not hold your funds, we cannot issue a refund directly, but we will submit and follow your request with the party that can.
You are responsible for obtaining and carrying valid travel documents for your itinerary, including a passport, any required entry or transit visas, and any health or vaccination documentation required by your destination or by a country through which you transit. You are also responsible for ensuring that the name on your booking matches the name on the government-issued identification you will present at check-in. Travel Suppliers routinely deny boarding or accommodation for a name mismatch or for missing documentation, and a booking affected for either reason is subject to the Travel Supplier's ordinary cancellation and refund policy. WhereTo Trips does not verify travel documents and is not responsible for a Travel Supplier's refusal to carry or accommodate you.
If a problem arises with a booking, you must report it to us at support@wheretotrips.com within thirty (30) days after the scheduled date of the affected travel, or, where the problem concerns travel you completed, within thirty (30) days after the date your travel ended. Reporting promptly matters: it allows us to raise the matter with our booking partner and the Travel Supplier while the booking record is still open and a remedy is still available, which is frequently the difference between obtaining one and not.
Before bringing a claim against WhereTo Trips arising out of or relating to a booking, you must first seek the refund, credit, rebooking, or other remedy available to you from the applicable Travel Supplier and from our booking partner, and, where applicable, from your payment card issuer or travel insurer. WhereTo Trips is liable only for loss that remains after those remedies have been pursued and that is not recoverable from any of those parties. Nothing in this Section prevents you from bringing an individual action in small claims court, or limits any right you have under applicable law to seek a refund directly from the party that received your payment.
You agree to use the App only for lawful purposes and in accordance with these Terms. You agree not to:
We reserve the right to investigate suspected violations of this Section, to suspend or terminate access to the App, and to cooperate with law enforcement or Travel Suppliers, as we reasonably determine necessary. We may cancel a booking where the booking was obtained by fraud or made in violation of a Travel Supplier's fare rules. You are responsible for any penalty, debit memo, or other charge a Travel Supplier assesses as a result of your conduct under this Section, and you agree to reimburse us for any such amount charged to us.
The App's booking functionality depends on third-party API connections to Travel Suppliers and global distribution systems that we do not own or control. We do not warrant or guarantee the accuracy, completeness, or continuous availability of information provided by Travel Suppliers through these connections, including pricing, availability, schedules, or fare rules.
WhereTo Trips is not responsible for the acts, omissions, errors, representations, warranties, breaches, or negligence of any Travel Supplier, or for any injury, loss, damage, delay, or other incident resulting from the goods or services provided by a Travel Supplier. Any claim, complaint, or dispute regarding the travel service itself (such as flight cancellations, hotel conditions, or service quality) must be directed to the applicable Travel Supplier in accordance with its own terms and policies.
Use of the App's third-party sign-in options (such as Google or Facebook) is also governed by that provider's own terms of service, which you are responsible for reviewing.
The App, including its design, software, text, graphics, logos, and the WhereTo name and branding, is owned by WhereTo Trips or its licensors and is protected by U.S. and international intellectual property laws. Subject to your compliance with these Terms, WhereTo Trips grants you a limited, non-exclusive, non-transferable, revocable license to download and use the App on a personal device for your own personal, non-commercial use.
You may not copy, modify, distribute, sell, lease, reverse-engineer, or create derivative works based on the App, in whole or in part, except as expressly permitted by applicable law or with our prior written consent.
Any feedback, suggestions, or ideas you submit to us regarding the App may be used by WhereTo Trips without restriction or compensation to you.
If the App permits you to submit reviews, preferences, or other content ("User Content"), you grant WhereTo Trips a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, display, and distribute that User Content in connection with operating, promoting, and improving the App. You represent that you have all necessary rights to submit such content and that it does not violate the rights of any third party or applicable law.
THE APP AND SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW.
WhereTo Trips does not warrant that the App will be uninterrupted, secure, or error-free, that defects will be corrected, or that the App or the servers that make it available are free of viruses or other harmful components. WhereTo Trips does not warrant or guarantee the accuracy, reliability, or completeness of any information, pricing, or availability provided by Travel Suppliers through the App's third-party API connections.
Some states do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you to the extent prohibited by applicable law.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL WHERETO TRIPS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF, OR INABILITY TO USE, THE APP OR THE SITE, WHETHER BASED ON WARRANTY, CONTRACT, TORT, STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WHERETO TRIPS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WHERETO TRIPS' TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS, THE APP, OR THE SITE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT PAID FOR THE BOOKING GIVING RISE TO THE CLAIM, LESS ANY AMOUNT REFUNDED, CREDITED, CHARGED BACK, OR OTHERWISE RECOVERED BY YOU IN CONNECTION WITH THAT BOOKING FROM A TRAVEL SUPPLIER, OUR BOOKING PARTNER, A PAYMENT CARD ISSUER, OR AN INSURER, OR (B) TWO HUNDRED FIFTY U.S. DOLLARS ($250).
WhereTo Trips is responsible only for its own acts and omissions. WhereTo Trips is not responsible, and accepts no liability, for the acts, omissions, errors, or performance failures of any Travel Supplier or of our booking partner, including cancellations, schedule changes, delays, denied boarding, overbooking, property conditions, and service quality, all of which are addressed in Sections 4 and 6. A claim arising from the conduct of a Travel Supplier or our booking partner is a claim against that party, not against WhereTo Trips.
Nothing in these Terms limits WhereTo Trips' liability for gross negligence, willful misconduct, or any other liability that cannot be limited or excluded under applicable Texas or federal law. Some states do not allow certain limitations of liability, so some of the above limitations may not apply to you.
You agree to defend, indemnify, and hold harmless WhereTo Trips and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with: (a) your access to or use of the App; (b) your violation of these Terms; (c) your violation of any third-party right, including any Travel Supplier's terms or any intellectual property or privacy right; or (d) any booking, travel arrangement, or dispute between you and a Travel Supplier.
These Terms remain in effect for as long as you use the App. You may stop using the App and request deletion of your account at any time by contacting support@wheretotrips.com. WhereTo Trips may suspend or terminate your access to the App at any time, with or without cause or notice, including for suspected violations of these Terms. Termination of your account does not cancel a booking you have already confirmed. Confirmed bookings remain subject to the applicable Travel Supplier's terms and to our booking partner's cancellation and refund policies, except where the booking was obtained by fraud.
Sections of these Terms that by their nature should survive termination, including Sections 7, 8, 9, 10, 11, 13, 15, 16, and 17, will survive any termination of these Terms or of your account.
Your use of the App is also governed by our Privacy Statement, which describes how we collect, use, and disclose personal information, including in connection with third-party sign-in providers, our booking partner, and its payment processor. The same Privacy Statement applies to information we collect through wheretotrips.com and any other website we operate that links to it. Please review the Privacy Statement before using the App or the website.
We may modify, suspend, or discontinue the App, in whole or in part, at any time, with or without notice. We may also update these Terms from time to time to reflect changes in our practices, the App, or legal requirements. We will post the updated Terms in the App with a revised "Last Updated" date and, for material changes, will give notice in the App or by email at least thirty (30) days before those changes take effect. Revised Terms apply only to your use of the App on and after their effective date, and do not apply to any dispute that arose before that date. Changes to Section 16 do not apply to any dispute of which we had notice before the change took effect. Your continued use of the App on or after the effective date of an update constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the App.
These Terms and any dispute arising out of or related to these Terms or the App shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of laws principles, except as otherwise required by applicable federal law, including the Federal Arbitration Act as described in Section 16. Nothing in these Terms limits any non-waivable rights or protections available to you under the consumer protection laws of your state of residence.
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
Except as set forth below, you and WhereTo Trips agree that any dispute, claim, or controversy arising out of or relating to these Terms, your use of the App, or any booking made through the App (other than disputes that must be brought against a Travel Supplier directly) shall be resolved through final and binding arbitration, rather than in court, except that either party may bring an individual action in small claims court.
The arbitration will be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, and will be conducted in the county of your residence or another mutually agreed location, or, at your election, by telephone or video conference, or based on written submissions. The Federal Arbitration Act governs the interpretation and enforcement of this provision. Under the AAA Consumer Arbitration Rules, the portion of the arbitration fees payable by you is capped and WhereTo Trips pays the remainder.
Before either party may commence arbitration, that party must send the other a written Notice of Dispute describing the claim and the relief sought. A Notice of Dispute from you must be sent to the address listed in Section 18. A Notice of Dispute from us will be sent to the email address associated with your account. The parties will attempt in good faith to resolve the dispute informally for sixty (60) days after the Notice of Dispute is sent, and neither party may commence arbitration before that period ends.
If twenty (20) or more Notices of Dispute raising substantially similar claims are submitted by or with the assistance of the same law firm or coordinated group within a ninety (90) day period, those claims will be arbitrated in sequential batches of up to fifty (50) claimants, each batch before a single arbitrator, and the parties will use the outcomes of each batch to attempt to resolve the remaining claims. Any applicable statute of limitations is tolled for claims awaiting assignment to a batch.
Except as provided in Section 16.2, the arbitrator has exclusive authority to resolve any dispute concerning the interpretation, applicability, enforceability, or formation of this arbitration agreement, including any claim that all or part of it is void or voidable.
YOU AND VC INNOVATIONS AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. Unless both parties agree otherwise, the arbitrator may not consolidate more than one person's claims and may not otherwise preside over any form of a class, collective, or representative proceeding.
If this class action waiver is found to be unenforceable as to any claim or request for relief, then that claim or request for relief shall be severed from arbitration and brought in a court of competent jurisdiction, and any remaining claims shall proceed in arbitration. The severability provision in Section 17.2 does not apply to this paragraph.
Nothing in this Section 16 waives your right to seek public injunctive relief. Any claim for public injunctive relief shall be brought in a court of competent jurisdiction and stayed pending the arbitration of your individual claims.
You may opt out of this arbitration agreement and class action waiver by sending written notice to WhereTo Trips at opt-out@wheretotrips.com within thirty (30) days of the date you first agree to these Terms. Your notice must include your name, the email address associated with your account, and a clear statement that you wish to opt out of arbitration. If you opt out, neither you nor WhereTo Trips will be required to arbitrate disputes between you, but all other provisions of these Terms will continue to apply.
Notwithstanding the foregoing, either party may bring a claim in court to seek injunctive or other equitable relief for infringement or misuse of intellectual property rights, or for unauthorized access to or misuse of the App.
These Terms, together with our Privacy Statement and any policies referenced herein, constitute the entire agreement between you and WhereTo Trips regarding the App and supersede any prior agreements, except that the Travel Supplier terms and the booking partner terms applicable to a reservation continue to govern that reservation in accordance with Sections 2 and 4.
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
WhereTo Trips' failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
You may not assign or transfer these Terms, by operation of law or otherwise, without WhereTo Trips' prior written consent. WhereTo Trips may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.
WhereTo Trips will not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including acts of God, natural disasters, pandemics, labor disputes, internet or telecommunications failures, or failures of Travel Suppliers or third-party service providers.
Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship between you and WhereTo Trips.
The following applies if you download the App from the Apple App Store. These Terms are an agreement between you and WhereTo Trips only, and not with Apple Inc. Apple has no obligation to furnish any maintenance or support services for the App. If the App fails to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price you paid for the App, if any; to the maximum extent permitted by law, Apple has no other warranty obligation with respect to the App. Apple is not responsible for addressing any claim by you or a third party relating to the App, including any product liability claim, any claim that the App fails to conform to a legal or regulatory requirement, or any claim arising under consumer protection or similar legislation. Apple is not responsible for the investigation, defense, settlement, or discharge of any third-party claim that the App infringes intellectual property rights. You represent that you are not located in a country subject to a United States Government embargo or designated as a terrorist-supporting country, and that you are not listed on any United States Government list of prohibited or restricted parties. Apple and its subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, will have the right to enforce them against you.
Our booking partner and its payment processor are intended third-party beneficiaries of the disclaimers in Section 9, the limitation of liability in Section 10, and the indemnity in Section 11, and each may enforce those provisions directly. Except as stated in this Section and in Section 17.7, these Terms do not create any third-party beneficiary rights.
We are committed to making the App usable by people with disabilities and work toward conformance with recognized accessibility standards. If you encounter a barrier to accessing any part of the App, please contact us at support@wheretotrips.com so that we can assist you and address the issue.
Any claim arising out of or relating to these Terms, the App, or the Site must be brought within two (2) years after the date on which the claim accrued. A claim not brought within that period is permanently barred. Where applicable law does not permit a limitations period to be shortened by agreement, or permits a shorter reduction than the one stated here, the shortest period that law allows applies instead.
